Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kuanta's services, software, and websites (collectively, the "Services") provided by Vislogik Technologies ("Kuanta," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our Services, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of our Services immediately.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

2. Description of Services

Kuanta provides conversational AI-powered productivity and business management tools accessible through web and messaging platforms. Our Services include but are not limited to:

• Expense tracking and budget management
• Task and goal management
• Natural language conversation interfaces
• Integration with third-party services and systems
• Data insights and reporting
• File upload and processing capabilities

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. User Accounts and Responsibilities

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your authentication credentials secure and confidential
• Notify us immediately of any unauthorized use or security breach
• Accept responsibility for all activities conducted through your account

You may not share your account credentials, create multiple fraudulent accounts to circumvent usage limits or subscription fees, or use automated means to access the Services without our express written permission. Legitimate use of multiple accounts (such as separate personal and business accounts) is permitted.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services for any fraudulent or malicious purpose
• Collect or harvest user data without consent
• Transmit spam, chain letters, or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Subscription and Payment

Certain features of our Services require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. All fees are stated in Malaysian Ringgit (RM) unless otherwise specified.

• Billing: Subscription fees are billed in advance on a monthly or annual basis
• Auto-renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Refunds: We offer a 14-day money-back guarantee for first-time subscribers. You may request a full refund within 14 days of your initial purchase. After this period, fees are non-refundable except as required by law
• Cancellation: You may cancel your subscription at any time. Access to paid features continues until the end of your current billing period
• Usage Limits: We may impose usage limits based on your subscription tier. Free tier limits apply as published on our pricing page and may be adjusted from time to time with notice. Personal tier subscribers enjoy substantially higher or unlimited usage, subject to fair use. During promotional or beta periods, limits may differ from the standard published limits
• Price Changes: We may modify pricing with 30 days' notice to active subscribers

Failure to pay applicable fees may result in suspension or termination of your access to paid features.

6. AI and Data Processing

Our Services utilize artificial intelligence and machine learning technologies to process your conversations and data. You acknowledge and agree that:

• We use third-party AI service providers to power our conversational features
• Your conversation data may be processed by these providers to generate responses
• We minimize data sent to AI providers and strip sensitive information where possible
• We do not use your data to train AI models or for any purpose other than providing the Services to you
• AI-generated responses and data extractions may not always be accurate
• You are responsible for verifying all information before relying on it
• We continuously improve our models, which may affect response accuracy over time

We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You use AI features at your own risk and should always verify critical information.

7. Third-Party Integrations

Our Services may integrate with third-party platforms, applications, and services ("Third-Party Services"). You acknowledge that:

• Third-Party Services are governed by their own terms and privacy policies
• We are not responsible for the availability, accuracy, or content of Third-Party Services
• You grant us permission to access and transmit your data to Third-Party Services as necessary
• Integration functionality may change or be discontinued at any time
• We do not endorse or assume responsibility for Third-Party Services

Your use of Third-Party Services is at your own risk. We are not liable for any issues arising from your use of Third-Party Services.

8. Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by Vislogik Technologies and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

You retain all ownership rights to content you submit to the Services. By submitting content, you grant us a limited, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Services to you. We will not use your content for marketing, AI training, or any other purpose without your explicit consent.

You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

We expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or availability of the Services
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the results obtained from using the Services

We do not warrant that defects will be corrected or that our Services are free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Vislogik Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

Our total liability arising from or related to these Terms or the Services shall not exceed the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. For free tier users, our liability is limited to RM 100.

This limitation applies regardless of the legal theory upon which the claim is based and whether we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vislogik Technologies, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) content you submit to the Services.

12. Data Security and Privacy

While we implement reasonable security measures to protect your data, we cannot guarantee absolute security. You acknowledge that:

• No method of transmission over the internet is 100% secure
• Unauthorized access, hardware or software failure, and other factors may compromise security
• You use the Services at your own risk regarding data security

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may experience downtime due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions or unavailability.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including for violation of these Terms. You may terminate your account at any time through your account settings.

Upon termination:

• Your right to access and use the Services immediately ceases
• We may delete your data in accordance with our retention policies
• Paid subscription fees are non-refundable unless required by law
• Provisions that by their nature should survive termination shall continue to apply

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiations with us.

17. Your Data Rights

You have the following rights regarding your data:

• Access: Request a copy of your personal data at any time
• Export: Download your data in a portable format (JSON, CSV)
• Deletion: Request deletion of your account and associated data
• Correction: Update or correct inaccurate information
• Portability: Transfer your data to another service

For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy. Your rights under PDPA (Malaysia), GDPR (Europe), and other applicable privacy laws are preserved.

18. Children's Privacy

Our Services are not intended for individuals under the age of 18. We do not knowingly collect personal information from children. If you believe we have inadvertently collected information from a child, please contact us immediately and we will delete such information.

19. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Vislogik Technologies regarding the Services
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision
• Assignment: You may not assign these Terms without our written consent; we may assign these Terms without restriction
• No Agency: These Terms do not create any partnership, joint venture, or agency relationship
